Code, Corporations and Associations § 5–117","heading":"","body":"(a) A majority of the directors and all of the officers of a professional corporation, except the secretary and treasurer, must be qualified persons with respect to the corporation.\n(b) Whether or not organized as a close corporation under Title 4 of this article:\n(1) The number of directors in a professional corporation may be less than 3;\n(2) The officers of a professional corporation may be limited to president, treasurer, and secretary and an individual may hold more than one office; and\n(3) Notwithstanding any other provision of law, an individual who holds more than one office in a professional corporation may act in more than one capacity to execute, acknowledge, or verify any instrument required to be executed, acknowledged, or verified by more than one officer.","path":["Article - Corporations and Associations"],"source_url":"https://mgaleg.maryland.gov/mgawebsite/Laws/StatuteText?article=gca\u0026section=5-117","current_through":"2026-01-01","vintage":"","retrieved_at":"2026-09-14T19:56:43Z","sha256":"c78316a23f2def231ff29d4e92eb0dee7a15136d192358dbaac354943eb23bb9","source_id":"us-md","stale":false,"prev":"us-md/md.-code-corporations-and-associations-5-116","next":"us-md/md.-code-corporations-and-associations-5-118"},"notice":"GroundRules: Original legal text.
