Code, Corporations and Associations § 5–124","heading":"","body":"The Attorney General may commence a proceeding under § 3-513 of this article to dissolve a professional corporation if:\n(1) The Department or a licensing unit with jurisdiction over a professional service described in the corporation’s articles of incorporation serves written notice on the corporation that it has violated or is violating a provision of this subtitle;\n(2) The corporation does not, within 60 days after service of the notice, correct the alleged violation or demonstrate to the Department or licensing authority that the violation has not occurred; and\n(3) The Department or licensing unit certifies to the Attorney General:\n(i) A description of the violation;\n(ii) That it notified the corporation of the violation; and\n(iii) That within 60 days after service of notice, the corporation did not correct the violation or demonstrate that it did not occur.","path":["Article - Corporations and Associations"],"source_url":"https://mgaleg.maryland.gov/mgawebsite/Laws/StatuteText?article=gca\u0026section=5-124","current_through":"2026-01-01","vintage":"","retrieved_at":"2026-09-14T19:56:43Z","sha256":"0effd3a16f873ff31958b7323d2f2903de98f4342ef28f30c2fc68ee98edb14c","source_id":"us-md","stale":false,"prev":"us-md/md.-code-corporations-and-associations-5-123","next":"us-md/md.-code-corporations-and-associations-5-125"},"notice":"GroundRules: Original legal text.
