Code, Corporations and Associations § 5–611","heading":"","body":"(a) The board of directors shall adopt the initial bylaws of a cooperative after an incorporation, conversion, merger, or consolidation.\n(b) After adoption of the initial bylaws, the members shall adopt, amend, or repeal the bylaws by the affirmative vote of a majority of the members voting on the matter at a meeting of the members.\n(c) The bylaws:\n(1) Shall state the rights and duties of members and directors; and\n(2) May contain other provisions for the regulation and management of the affairs of the cooperative that are consistent with this subtitle and the articles of incorporation.","path":["Article - Corporations and Associations"],"source_url":"https://mgaleg.maryland.gov/mgawebsite/Laws/StatuteText?article=gca\u0026section=5-611","current_through":"2026-01-01","vintage":"","retrieved_at":"2026-09-14T19:56:43Z","sha256":"77498b7b6067b7a711d8e46c779e50bd892e3354e403438d31492d826f50a5f9","source_id":"us-md","stale":false,"prev":"us-md/md.-code-corporations-and-associations-5-610","next":"us-md/md.-code-corporations-and-associations-5-612"},"notice":"GroundRules: Original legal text.
