Code, Corporations and Associations § 5–702","heading":"","body":"(a) A charitable or religious Maryland nonstock corporation may petition a court of equity for a decree under § 5–209 of this title if:\n(1) The dissolution of the corporation involves provisions for disposition of assets under § 5–208(b)(2) or (3) of this title; or\n(2) A consolidation, merger, or transfer of assets of the corporation under § 5–207 of this title involves similar provisions for the successor corporation.\n(b) The failure to petition a court of equity and obtain a decree does not affect the otherwise valid actions of the corporation in dissolution, consolidation, or merger, or in a transfer of assets.","path":["Article - Corporations and Associations"],"source_url":"https://mgaleg.maryland.gov/mgawebsite/Laws/StatuteText?article=gca\u0026section=5-702","current_through":"2026-01-01","vintage":"","retrieved_at":"2026-09-14T19:56:43Z","sha256":"3512e23efbb661a6f95a82c6997271fb291d24ebde008e1d4b29efda683d0847","source_id":"us-md","stale":false,"prev":"us-md/md.-code-corporations-and-associations-5-701","next":"us-md/md.-code-corporations-and-associations-5-703"},"notice":"GroundRules: Original legal text.
