Code, Corporations and Associations § 7–301","heading":"","body":"If a foreign corporation is doing or has done any intrastate, interstate, or foreign business in this State without complying with the requirements of Subtitle 2 of this title, neither the corporation nor any person claiming under it may maintain a suit in any court of this State unless it shows to the satisfaction of the court that:\n(1) The foreign corporation or the person claiming under it has paid the penalty specified in § 7-302 of this subtitle; and\n(2) Either:\n(i) The foreign corporation or a foreign corporation successor to it has complied with the requirements of Subtitle 2 of this title; or\n(ii) The foreign corporation and any foreign corporation successor to it are no longer doing intrastate, interstate, or foreign business in this State.","path":["Article - Corporations and Associations"],"source_url":"https://mgaleg.maryland.gov/mgawebsite/Laws/StatuteText?article=gca\u0026section=7-301","current_through":"2026-01-01","vintage":"","retrieved_at":"2026-09-14T19:56:43Z","sha256":"9ba78a6b68be4f661cc6004e152fc0e9a554a1254dae5b42f5456f8d5843ab3b","source_id":"us-md","stale":false,"prev":"us-md/md.-code-corporations-and-associations-7-210","next":"us-md/md.-code-corporations-and-associations-7-302"},"notice":"GroundRules: Original legal text.
