Laws § 440.8201","heading":"“Issuer” defined.","body":"Sec. 8201.\n\nWith respect to an obligation on or a defense to a security, an \"issuer\" includes a person that does 1 or more of the following:\n\nPlaces or authorizes the placing of its name on a security certificate, other than as authenticating trustee, registrar, transfer agent, or similar person, to evidence a share, participation, or other interest in its property or in an enterprise, or to evidence its duty to perform an obligation represented by the certificate.\n\nCreates a share, participation, or other interest in its property or in an enterprise, or undertakes an obligation, that is an uncertificated security.\n\nDirectly or indirectly creates a fractional interest in its rights or property, if the fractional interest is represented by a security certificate.\n\nBecomes responsible for, or in place of, another person described as an issuer in this section.\n\nWith respect to an obligation on or defense to a security, a guarantor is an issuer to the extent of its guaranty, whether or not its obligation is noted on a security certificate.\n\nWith respect to a registration of a transfer, issuer means a person on whose behalf transfer books are maintained.","path":["MI Code","Chapter 440","Act Act-174-of-1962"],"source_url":"https://www.legislature.mi.gov/Laws/MCL?objectName=mcl-440-8201","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:31Z","sha256":"597c7fd282711d0471fea3a1817b8db2cca3968e9f4e66035a94466968aa00e8","source_id":"us-mi","stale":false,"prev":"us-mi/mich.-comp.-laws-440.8116","next":"us-mi/mich.-comp.-laws-440.8202"},"notice":"GroundRules: Original legal text.
