Laws § 445.1504a","heading":"Applicability of act.","body":"Sec. 4a.\n\nThis act shall not apply to a nonprofit organization operated on a cooperative basis by and for independent retailers to which all of the following apply:\n\nControl and ownership of each member is substantially equal.\n\nMembership is limited to those who use the services furnished by the organization.\n\nTransfer of ownership is prohibited or limited.\n\nMembers receive no return on capital investment.\n\nSubstantially equal economic benefits pass to the members on the basis of patronage in the organization.\n\nMembers are not personally liable for obligations of the organization in the absence of a direct undertaking or authorization by the members.\n\nThe wholesale goods and services of the organization are furnished primarily to the members.\n\nNo part of the receipts, income, or profit of the organization are paid to any profit-making entity except for arms-length payments for necessary goods and services.\n\nMembers are not required to purchase goods or services through any profit-making entity.","path":["MI Code","Chapter 445","Act Act-269-of-1974"],"source_url":"https://www.legislature.mi.gov/Laws/MCL?objectName=mcl-445-1504a","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:31Z","sha256":"0cfee707ba85378748feea966cbfa654b5ecc7a8eef6691a129e945b95c8e98d","source_id":"us-mi","stale":false,"prev":"us-mi/mich.-comp.-laws-445.1504","next":"us-mi/mich.-comp.-laws-445.1504b"},"notice":"GroundRules: Original legal text.
