Laws § 449.32","heading":"Dissolution; decree of court.","body":"Sec. 32.\n\n(Dissolution by decree of court).\n\nOn application by or for a partner the court shall decree a dissolution whenever:\n\nA partner has been declared a lunatic in any judicial proceeding or is shown to be of unsound mind,\n\nA partner becomes in any other way incapable of performing his part of the partnership contract,\n\nA partner has been guilty of such conduct as tends to effect prejudicially the carrying on of the business,\n\nA partner wilfully or persistently commits a breach of the partnership agreement, or otherwise so conducts himself in matters relating to the partnership business that it is not reasonably practicable to carry on the business in partnership with him,\n\nThe business of the partnership can only be carried on at a loss,\n\nOther circumstances render a dissolution equitable;\n\nOn the application of the purchaser of a partner's interest under sections 28 or 29:\n\nAfter the termination of the specified term or particular undertaking,\n\nAt any time if the partnership was a partnership at will when the interest was assigned or when the charging order was issued.","path":["MI Code","Chapter 449","Act Act-72-of-1917"],"source_url":"https://www.legislature.mi.gov/Laws/MCL?objectName=mcl-449-32","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:31Z","sha256":"f8b0d45cce1a1d8367eac620dd9df9cc5ad78b1e9730ea85d8847c47feb8a9ac","source_id":"us-mi","stale":false,"prev":"us-mi/mich.-comp.-laws-449.31","next":"us-mi/mich.-comp.-laws-449.33"},"notice":"GroundRules: Original legal text.
