Laws § 450.2015","heading":"Certificate of authority to transact business; application; filing; contents.","body":"Sec. 1015.\n\nTo procure a certificate of authority to transact business in this state, a foreign corporation shall file with the administrator an application setting forth all of the following:\n\nThe name of the corporation and the jurisdiction of its incorporation.\n\nThe date of incorporation and the period of duration of the corporation.\n\nThe street address, and the mailing address if different from the street address, of its main business or headquarters office.\n\nThe street address of its registered office in this state, the mailing address if different from the street address, and the name of its resident agent in this state at the address, together with a statement that the resident agent is an agent of the corporation upon whom process against the corporation may be served.\n\nThe character of the business it is to transact in this state, together with a statement that it is authorized to transact such business in the jurisdiction of its incorporation.\n\nAny additional information as the administrator may require in order to determine whether the corporation is entitled to a certificate of authority to transact business in this state and to determine the fees and taxes prescribed by law.","path":["MI Code","Chapter 450","Act Act-284-of-1972"],"source_url":"https://www.legislature.mi.gov/Laws/MCL?objectName=mcl-450-2015","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:31Z","sha256":"6c8e2f25ee4d8f1b323a31a230c722c9b6dad2d324793997a8a08894b4968317","source_id":"us-mi","stale":false,"prev":"us-mi/mich.-comp.-laws-450.2014","next":"us-mi/mich.-comp.-laws-450.2016"},"notice":"GroundRules: Original legal text.
