Laws § 450.2041","heading":"Certificate of authority; grounds for revocation.","body":"Sec. 1041.\n\nSubject to section 1042, in addition to any other ground for revocation provided by law, the administrator may revoke the certificate of authority of a foreign corporation to transact business in this state on any of the following grounds:\n\n(a) The corporation fails to maintain a resident agent in this state as required under this act.\n\n(b) The corporation, after changing its registered office or resident agent, fails to file a statement of the change as required under this act.\n\n(c) The corporation fails to file an amended application as required under this act.\n\n(d) The corporation, after becoming the survivor to a merger or conversion, fails to file the certificate attesting to the occurrence of the merger or conversion as required under this act.\n\n(e) The corporation fails to file its annual report within the time required under this act, or fails to pay an annual filing fee required under this act.","path":["MI Code","Chapter 450","Act Act-284-of-1972"],"source_url":"https://www.legislature.mi.gov/Laws/MCL?objectName=mcl-450-2041","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:31Z","sha256":"3725762a99c2485421e1f264dc5932e42dd5f7d12d295f4377051785a0af58c9","source_id":"us-mi","stale":false,"prev":"us-mi/mich.-comp.-laws-450.2035","next":"us-mi/mich.-comp.-laws-450.2042"},"notice":"GroundRules: Original legal text.
