One or more individuals may act as the incorporator or incorporators of a corporation by delivering articles of incorporation to the secretary of state for filing.\n2. The articles of incorporation adopted after July 1, 1995, must set forth:\n(1) A corporate name for the corporation that satisfies the requirements of section 355.146;\n(2) One of the following statements:\n(a) This corporation is a public benefit corporation; or\n(b) This corporation is a mutual benefit corporation;\n(3) The street address of the corporation's initial registered office and the name of its initial registered agent at that office;\n(4) The name and address of each incorporator;\n(5) Whether or not the corporation will have members; and\n(6) Provisions not inconsistent with law regarding the distribution of assets on dissolution.\n3. The articles of incorporation may set forth:\n(1) The purpose or purposes for which the corporation is organized, which may be, either alone or in combination with other purposes, the transaction of any lawful activity;\n(2) The names and addresses of the individuals who are to serve as the initial directors;\n(3) Provisions not inconsistent with law regarding:\n(a) Managing and regulating the affairs of the corporation;\n(b) Defining, limiting, and regulating the powers of the corporation, its board of directors, and members, or any class of members; and\n(c) The characteristics, qualifications, rights, limitations and obligations attaching to each or any class of members;\n(4) Any provision that under this chapter is required or permitted to be set forth in the bylaws.","path":["Title XXIII - CORPORATIONS, ASSOCIATIONS AND PARTNERSHIPS","Chapter 355 - Nonprofit Corporation Law"],"source_url":"https://revisor.mo.gov/main/OneSection.aspx?section=355.096","current_through":"2026 legislative session (floor)","vintage":"","retrieved_at":"2026-09-03T22:23:27Z","sha256":"72b9e97227c0ddb521a55ba0ba50069a8184cd1ef44094f064adae0d55d95eb8","source_id":"us-mo","stale":false,"prev":"us-mo/mo.-rev.-stat.-355.086","next":"us-mo/mo.-rev.-stat.-355.101"},"notice":"GroundRules: Original legal text.
