Stat. § 400.8-208","heading":"Effect of signature of authenticating trustee, registrar or transfer agent.","body":"(a) A person signing a security certificate as authenticating trustee, registrar, transfer agent or the like, warrants to a purchaser for value of the certificated security, if the purchaser is without notice of a particular defect, that:\n(1) The certificate is genuine;\n(2) The person's own participation in the issue of the security is within the person's capacity and within the scope of the authority received by the person from the issuer; and\n(3) The person has reasonable grounds to believe that the certificated security is in the form and within the amount the issuer is authorized to issue.\n(b) Unless otherwise agreed, a person signing under subsection (a) does not assume responsibility for the validity of the security in other respects.","path":["Title XXVI - TRADE AND COMMERCE","Chapter 400 - Uniform Commercial Code"],"source_url":"https://revisor.mo.gov/main/OneSection.aspx?section=400.8-208","current_through":"2026 legislative session (floor)","vintage":"","retrieved_at":"2026-09-03T22:23:28Z","sha256":"6212179d0b508755011ee691b36c51543009a9cf42d332882804a17ef99d80dc","source_id":"us-mo","stale":false,"prev":"us-mo/mo.-rev.-stat.-400.8-207","next":"us-mo/mo.-rev.-stat.-400.8-209"},"notice":"GroundRules: Original legal text.
