Code Ann. § 79-10-91","heading":"Authority to transact business.","body":"(1) A foreign professional corporation may not transact business in this state until it obtains a certificate of authority from the Secretary of State.\n(2) A foreign professional corporation may not obtain a certificate of authority unless:\n(a) Its corporate name satisfies the requirements of Section 79-10-21;\n(b) It is incorporated for one or more of the purposes described in Section 79-10-13; and\n(c) All of its shareholders would be qualified persons if the foreign professional corporation were a domestic professional corporation.","path":["Title 79.
