Stat. § 55A-1-20","heading":"Filing requirements.","body":"(a)\tA document required or permitted by this Chapter to be filed by the Secretary of State must be filed under Chapter 55D of the General Statutes.\n(b)\tA document submitted on behalf of a domestic or foreign corporation must be executed:\n(1)\tBy the presiding officer of its board of directors, by its president, or by another of its officers;\n(2)\tIf directors have not been selected or the corporation has not been formed, by an incorporator; or\n(3)\tIf the corporation is in the hands of a receiver, trustee, or other court-appointed fiduciary, by that fiduciary.
