Code § 10-19.1-135","heading":"Foreign corporation application for certificate of authority","body":"1.An applicant for a certificate shall file with the secretary of state an application executed by an authorized person on forms prescribed by the secretary of state and setting forth:\na.The name of the foreign corporation and, if different, the name under which it proposes to transact business in this state;\nb.The jurisdiction of its incorporation;\nc.The date of incorporation in the jurisdiction of its incorporation and the period of duration of the foreign corporation;\nd.The address of the principal executive office of the foreign corporation;\ne.The name of the registered agent of the foreign corporation as provided in chapter 10-01.1, and if a noncommercial registered agent, the address of such noncommercial registered agent in this state;\nf.The purpose of the corporation which it proposes to pursue in transacting business in this state;\ng.The names and addresses of the directors and officers of the foreign corporation; and\nh.Any additional information deemed necessary or appropriate by the secretary of state to enable the secretary of state to determine whether the foreign corporation is entitled to a certificate of authority to transact business in this state.\n2.The application must be accompanied by payment of the fees provided in section 10-19.1-147 together with a certificate of good standing or a certificate of existence duly authenticated by the incorporating officer of the state or country where the corporation is incorporated.","path":["Title 10 Corporations","Chapter 10-19.1 North Dakota Business Corporation Act"],"source_url":"https://ndlegis.gov/cencode/t10c19-1.pdf","current_through":"2026-07-31T11:12:02","vintage":"","retrieved_at":"2026-09-02T21:04:14Z","sha256":"98d4a6f82fb74f450b90391bc868013efb41f7e4b061d8df2c1d87632909af91","source_id":"us-nd","stale":true,"prev":"us-nd/n.d.-cent.-code-10-19.1-134","next":"us-nd/n.d.-cent.-code-10-19.1-136"},"notice":"GroundRules: Original legal text.
