Code § 10-19.1-42","heading":"Board vacancies","body":"1.Unless different rules for filling vacancies are provided for in the articles or bylaws:\na.Vacancies on the board resulting from the death, resignation, removal, or disqualification of a director may be filled by the affirmative vote of a majority of the remaining directors, even though the remaining directors constitute less than a quorum; and\nb.Vacancies on the board resulting from newly created directorships may be filled by the affirmative vote of a majority of the directors serving at the time of the increase.\n2.Each director elected under this section to fill a vacancy holds office until a qualified successor is elected by the shareholders at the next regular or special meeting of the shareholders.\n3.A vacancy that will occur at a specific later date may be filled before the vacancy occurs but the new director may not take office until the vacancy occurs.","path":["Title 10 Corporations","Chapter 10-19.1 North Dakota Business Corporation Act"],"source_url":"https://ndlegis.gov/cencode/t10c19-1.pdf","current_through":"2026-07-31T11:12:02","vintage":"","retrieved_at":"2026-09-02T21:04:14Z","sha256":"0fb8c387a613b3f535abf7dfbf67087c7f4cd173c1ba45a9a145b9fd6627a8b8","source_id":"us-nd","stale":true,"prev":"us-nd/n.d.-cent.-code-10-19.1-41.1","next":"us-nd/n.d.-cent.-code-10-19.1-43"},"notice":"GroundRules: Original legal text.
