Code § 10-33-38","heading":"Board vacancies","body":"1.Unless the articles or bylaws provide otherwise, and except as provided in this section, if a vacancy occurs on the board, including a vacancy resulting from an increase in the number of directors:\na.The members with voting rights, if any, may fill the vacancy; or\nb.The remaining members of the board, though less than a quorum, may fill the vacancy.\n2.If a vacant office was held by a director elected by a class, chapter, or other organizational unit or by region or other geographic grouping, only members with voting rights of the class, chapter, unit, or grouping are entitled to vote to fill the vacancy.\n3.If a vacant office was held by an appointed director, only the person who appointed the director may fill the vacancy.\n4.A vacancy that will occur at a specific later date may be filled before the vacancy occurs but the new director may not take office until the vacancy occurs.","path":["Title 10 Corporations","Chapter 10-33 Nonprofit Corporations"],"source_url":"https://ndlegis.gov/cencode/t10c33.pdf","current_through":"2026-07-31T11:12:02","vintage":"","retrieved_at":"2026-09-02T21:04:14Z","sha256":"464647304bc1bcc170c2597294b02f963e00a970f12e1e02afcb8d1310faa7fe","source_id":"us-nd","stale":true,"prev":"us-nd/n.d.-cent.-code-10-33-37","next":"us-nd/n.d.-cent.-code-10-33-39"},"notice":"GroundRules: Original legal text.
