Code § 10-33-72","heading":"Act of the members","body":"1.Unless this chapter or the articles or bylaws require a greater vote or voting by class and except for the election of directors which is governed by section 10-32.1-45, the members shall take action by the affirmative vote of the greater of:\na.A majority of the members with voting rights present and entitled to vote on that item of business; or\nb.A majority of the voting power of the minimum number of members with voting rights that would constitute a quorum for the transaction of business at the meeting.
