Code § 10-33-86","heading":"Plan of merger or consolidation","body":"A plan of merger or consolidation must contain:\n1.The names of the corporations proposing to merge or consolidate;\n2.The name of the surviving or new corporation;\n3.The terms and conditions of the proposed merger or consolidation;\n4.In the case of a merger, the manner and basis of converting the memberships of the constituent corporations into memberships of the surviving corporation or of any other corporation;\n5.In the case of a merger, a statement of amendments to the articles of the surviving corporation proposed as part of the merger;\n6.In the case of a consolidation, the provisions required by section 10-33-06 to be set out in the articles of the new corporation; and\n7.Other provisions with respect to the proposed merger or consolidation which are considered necessary or desirable.","path":["Title 10 Corporations","Chapter 10-33 Nonprofit Corporations"],"source_url":"https://ndlegis.gov/cencode/t10c33.pdf","current_through":"2026-07-31T11:12:02","vintage":"","retrieved_at":"2026-09-02T21:04:14Z","sha256":"79ebf8c12fb0963735f5c6313742ce8039d0acd0d43e30bb5b81eef512aecfa7","source_id":"us-nd","stale":true,"prev":"us-nd/n.d.-cent.-code-10-33-85","next":"us-nd/n.d.-cent.-code-10-33-87"},"notice":"GroundRules: Original legal text.
