Code § 41-08-24","heading":"(8-208) Effect of signature of authenticating trustee, registrar, or transfer agent","body":"1.A person signing a security certificate as authenticating trustee, registrar, transfer agent, or the like, warrants to a purchaser for value of the certificated security, if the purchaser is without notice of a particular defect, that:\na.The certificate is genuine;\nb.The person's own participation in the issue of the security is within the person's capacity and within the scope of the authority received by the person from the issuer; and\nc.The person has reasonable grounds to believe that the certificated security is in the form and within the amount the issuer is authorized to issue.\n2.Unless otherwise agreed, a person signing under subsection 1 does not assume responsibility for the validity of the security in other respects.","path":["Title 41 Uniform Commercial Code","Chapter 41-08 Investment Securities"],"source_url":"https://ndlegis.gov/cencode/t41c08.pdf","current_through":"2026-07-31T11:12:02","vintage":"","retrieved_at":"2026-09-02T21:04:14Z","sha256":"f75eb939eb8381be1614255f88562493d8cf38167263101acff8b0964ddb56d0","source_id":"us-nd","stale":true,"prev":"us-nd/n.d.-cent.-code-41-08-23","next":"us-nd/n.d.-cent.-code-41-08-25"},"notice":"GroundRules: Original legal text.
