Code § 41-08-27","heading":"(8-301) Delivery","body":"1.Delivery of a certificated security to a purchaser occurs when:\na.The purchaser acquires possession of the security certificate;\nb.Another person, other than a securities intermediary, either acquires possession of the security certificate on behalf of the purchaser or, having previously acquired possession of the certificate, acknowledges that it holds for the purchaser; or\nc.A securities intermediary acting on behalf of the purchaser acquires possession of the security certificate, only if the certificate is in registered form and is:\n(1)Registered in the name of the purchaser;\n(2)Payable to the order of the purchaser; or\n(3)Specially indorsed to the purchaser by an effective indorsement and has not been indorsed to the securities intermediary or in blank.\n2.Delivery of an uncertificated security to a purchaser occurs when:\na.The issuer registers the purchaser as the registered owner, upon original issue or registration of transfer; or\nb.Another person, other than a securities intermediary, either becomes the registered owner of the uncertificated security on behalf of the purchaser or, having previously become the registered owner, acknowledges that it holds for the purchaser.","path":["Title 41 Uniform Commercial Code","Chapter 41-08 Investment Securities"],"source_url":"https://ndlegis.gov/cencode/t41c08.pdf","current_through":"2026-07-31T11:12:02","vintage":"","retrieved_at":"2026-09-02T21:04:14Z","sha256":"adc6f1cee25d9ae4866148eb915b95798991c78a57e29f0d217450e1f68c13d9","source_id":"us-nd","stale":true,"prev":"us-nd/n.d.-cent.-code-41-08-26","next":"us-nd/n.d.-cent.-code-41-08-28"},"notice":"GroundRules: Original legal text.
