Code § 45-10.2-29","heading":"(208) Liability for false information in filed record","body":"If a record delivered to the secretary of state for filing under this chapter and filed by the secretary of state contains false information, then a person that suffers loss by reliance on the information may recover damages for the loss from:\n1.A person that signed the record, or caused another to sign it on behalf of a person, and knew the information to be false at the time the record was signed; and\n2.A general partner that has notice that the information was false when the record was filed or has become false because of changed circumstances, if the general partner has notice for a reasonably sufficient time before the information is relied upon to enable the general partner to effect an amendment under section 45-10.2-24, file a petition pursuant to section 45-10.2-26, or deliver to the secretary of state for filing a statement of change pursuant to section 45-10.2-18 or a statement of correction pursuant to section 45-10.2-28.","path":["Title 45 Partnerships","Chapter 45-10.2 Uniform Limited Partnership Act"],"source_url":"https://ndlegis.gov/cencode/t45c10-2.pdf","current_through":"2026-07-31T11:12:02","vintage":"","retrieved_at":"2026-09-02T21:04:14Z","sha256":"05941bde19c221074937f194d54f7828c0d0622a0814cdf826a2b52495029104","source_id":"us-nd","stale":false,"prev":"us-nd/n.d.-cent.-code-45-10.2-28","next":"us-nd/n.d.-cent.-code-45-10.2-30"},"notice":"GroundRules: Original legal text.
