Code § 45-21-03","heading":"(903) Plan of conversion approval and amendment","body":"1.If the converting organization is a partnership, then:\na.A plan of conversion must be consented to by all of the partners of a converting partnership.\nb.Subject to any contractual rights, after a conversion is approved, and at any time before a filing is made under section 45-21-04, a converting partnership may amend the plan or abandon the planned conversion:\n(1)As provided in the plan; and\n(2)Except as prohibited by the plan, by the same consent as was required to approve the plan.\n2.If the converting organization is not a partnership, then the approval and the amendment of the plan of conversion must comply with the governing statute in effecting the conversion.","path":["Title 45 Partnerships","Chapter 45-21 Conversions And Mergers"],"source_url":"https://ndlegis.gov/cencode/t45c21.pdf","current_through":"2026-07-31T11:12:02","vintage":"","retrieved_at":"2026-09-02T21:04:14Z","sha256":"23678abbedd6bf5c1d509ded3d2367d8388ac8b996740a756c46ac5e8267c80a","source_id":"us-nd","stale":true,"prev":"us-nd/n.d.-cent.-code-45-21-02.1","next":"us-nd/n.d.-cent.-code-45-21-04"},"notice":"GroundRules: Original legal text.
