Stat. § 21-2987","body":"In order to voluntarily dissolve:\n\n(1) A resolution to dissolve shall be approved by a majority vote of the board of directors unless a greater vote is required by the articles of organization or bylaws;\n\n(2) The board of directors shall mail or otherwise transmit or deliver in a record to each member:\n\n(a) The resolution required by subdivision (1) of this section;\n\n(b) A recommendation that the members vote in favor of the resolution, unless the board determines because of conflict of interest or other special circumstances it should not make such a recommendation;\n\n(c) If the board makes no recommendation, the basis of that decision; and\n\n(d) A notice of the meeting in the same manner as a special members' meeting;\n\n(3) Subject to section 21-2939 , the resolution to dissolve shall be approved by at least a two-thirds vote of patron members voting at the meeting and at least two-thirds vote of investor members voting at the meeting; and\n\n(4) Unless otherwise provided in the resolution, the limited cooperative association is dissolved upon approval under subdivision (3) of this section.","path":["NE Code","Chapter 21"],"source_url":"https://nebraskalegislature.gov/laws/statutes.php?statute=21-2987","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:21Z","sha256":"85a6e783d0a5c858bde44215fe24ea72b7ec1bc221f3cdf19ba31b03147e778a","source_id":"us-ne","stale":false,"prev":"us-ne/neb.-rev.-stat.-21-2986","next":"us-ne/neb.-rev.-stat.-21-2988"},"notice":"GroundRules: Original legal text.
