Stat. § 21-524","body":"A protected series of a series limited liability company is dissolved, and its activities and affairs must be wound up, only on the:\n\n(1) dissolution of the company;\n\n(2) occurrence of an event or circumstance the operating agreement states causes dissolution of the protected series;\n\n(3) affirmative vote or consent of all members; or\n\n(4) entry by the court of an order dissolving the protected series on application by an associated member or protected-series manager of the protected series:\n\n(A) in accordance with section 21-508 ; and\n\n(B) to the same extent, in the same manner, and on the same grounds the court would enter an order dissolving a limited liability company on application by a member or manager of the company; or\n\n(5) entry by the court of an order dissolving the protected series on application by the company or a member of the company on the ground that the conduct of all or substantially all the activities and affairs of the protected series is illegal.","path":["NE Code","Chapter 21"],"source_url":"https://nebraskalegislature.gov/laws/statutes.php?statute=21-524","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:21Z","sha256":"4116b62bbeaf5774c232579e1d5564ae8e60220adf575794e16dc5a40eb34837","source_id":"us-ne","stale":false,"prev":"us-ne/neb.-rev.-stat.-21-523","next":"us-ne/neb.-rev.-stat.-21-525"},"notice":"GroundRules: Original legal text.
