Stat. § 67-459","body":"(1) A foreign limited liability partnership transacting business in this state may not maintain an action or proceeding in this state unless it has in effect a statement of foreign qualification.\n\n(2) The failure of a foreign limited liability partnership to have in effect a statement of foreign qualification does not impair the validity of a contract or act of the foreign limited liability partnership or preclude it from defending an action or proceeding in this state.\n\n(3) A limitation on personal liability of a partner is not waived solely by transacting business in this state without a statement of foreign qualification.\n\n(4) If a foreign limited liability partnership transacts business in this state without a statement of foreign qualification, the Secretary of State is its agent for service of process with respect to a right of action arising out of the transaction of business in this state.","path":["NE Code","Chapter 67"],"source_url":"https://nebraskalegislature.gov/laws/statutes.php?statute=67-459","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:21Z","sha256":"20d244df9bd33221bba5d19b9defac749d0824519227c3e81ed3c4c6a71bd4e0","source_id":"us-ne","stale":false,"prev":"us-ne/neb.-rev.-stat.-67-458","next":"us-ne/neb.-rev.-stat.-67-460"},"notice":"GroundRules: Original legal text.
