A foreign professional corporation shall be entitled to procure a certificate of authority to transact business in this state only if:\n(a) The name of the corporation meets the requirements of this chapter;\n(b) The corporation is organized only for purposes for which a professional corporation organized under this chapter may be organized; and\n(c) All the shareholders, and such of the directors and officers as are required under RSA 294-A:20 are qualified persons with respect to the corporation.\nII.
