{"data":{"id":"us-nh/rsa-564-f-16-1606","jurisdiction":"us-nh","citation":"RSA 564-F:16-1606","heading":"Nonjudicial Settlement Agreement.","body":"(a) For purposes of this section, \"interested person\" means each of the following persons:\n(1) A founder;\n(2) A foundation official;\n(3) A person who, under the governing documents, has the power to enforce the terms of the governing documents;\n(4) If the trust is a charitable trust, the director of charitable trusts; and\n(5) Any other person whose consent would be required in order to achieve a binding settlement if a court would approve the settlement.\n(b) Subject to subsection (c), all of the interested persons may enter into a binding nonjudicial settlement agreement with respect to any matter involving a foundation.\n(c) A nonjudicial settlement agreement is valid only to the extent that:\n(1) It does not violate any of the foundation's material purpose; and\n(2) It includes only terms and conditions that could be properly approved by a court under this chapter or other applicable law.\n(d) Matters that may be resolved by a nonjudicial settlement agreement include:\n(1) The interpretation or construction of the governing documents;\n(2) The modification of the governing documents;\n(3) The approval of a director's report or accounting;\n(4) A direction to a foundation official to refrain from performing a particular act or the grant to a foundation official of any necessary or desirable power;\n(5) A foundation official's appointment or resignation;\n(6) The determination of a foundation official's compensation;\n(7) A foundation official's liability for an action relating to the foundation; and\n(8) The foundation's dissolution.\n(e) Any interested person may commence a judicial proceeding requesting that the court:\n(1) Approve a nonjudicial settlement agreement;\n(2) Determine whether the representation under 564-F:14-1402 was adequate; and\n(3) Determine whether the agreement contains terms and conditions the court could have properly approved.","path":["Title LVI: PROBATE COURTS AND DECEDENTS' ESTATES","Chapter ARTICLE 16: Dispute Resolution"],"source_url":"https://gc.nh.gov/rsa/html/LVI/564-F/564-F-16-1606.htm","current_through":"2025 regular legislative session, or December 2025","vintage":"","retrieved_at":"2026-09-05T17:08:19Z","sha256":"91dc31be5191bc0243fddfe9e0b0b87d949e96390d57ec4acb147c64925fd075","source_id":"us-nh","stale":false,"prev":"us-nh/rsa-564-f-16-1605","next":"us-nh/rsa-564-f-16-1607"},"notice":"GroundRules: Original legal text.
