{"data":{"id":"us-nh/rsa-564-f-17-1701","jurisdiction":"us-nh","citation":"RSA 564-F:17-1701","heading":"Modification.","body":"(a) A court may modify a foundation's certificate of formation or its bylaws if:\n(1) All of the foundation officials consent to the modification;\n(2) All of the beneficiaries consent to the modification;\n(3) To the extent that the foundation is a charitable trust, the director of charitable trusts consents to the modification; and\n(4) The modification does not violate any of the foundation's material purposes.\n(b) A court may modify a foundation's certificate of formation or its bylaws if:\n(1) Due to circumstances that the founder did not anticipate, modification will further the foundation's purposes;\n(2) The modification is consistent with the founder's probable intent; and\n(3) The modification does not violate any of the foundation's material purposes.\n(c) A court may modify a foundation's certificate of formation or its bylaws if:\n(1) The foundation's continuation would be impractical, wasteful, or impair the foundation's administration;\n(2) The modification is consistent with the founder's intent; and\n(3) The modification does not violate any of the foundation's material purposes.\n(d) Any of the following persons may commence a judicial proceeding seeking modification of a foundation's certificate of formation or its bylaws under this section:\n(1) A foundation official;\n(2) Unless the governing documents provide otherwise, a beneficiary; or\n(3) To the extent that the foundation is a charitable trust, the director of charitable trusts.","path":["Title LVI: PROBATE COURTS AND DECEDENTS' ESTATES","Chapter ARTICLE 17: Modification"],"source_url":"https://gc.nh.gov/rsa/html/LVI/564-F/564-F-17-1701.htm","current_through":"2025 regular legislative session, or December 2025","vintage":"","retrieved_at":"2026-09-05T17:08:19Z","sha256":"52016400290136be9e396eaab4ac36f50ddad73f95b9246d91443115d6fc6935","source_id":"us-nh","stale":false,"prev":"us-nh/rsa-564-f-16-1607","next":"us-nh/rsa-564-f-17-1702"},"notice":"GroundRules: Original legal text.
