{"data":{"id":"us-nh/rsa-564-f-20-2005","jurisdiction":"us-nh","citation":"RSA 564-F:20-2005","heading":"Effect of Dissolution.","body":"(a) A dissolved foundation continues its existence as a legal entity but may not engage in any activities except to the extent necessary or appropriate to wind up its affairs, including:\n(1) Collecting its property;\n(2) Disposing of its property that will not be distributed in kind to its beneficiaries or in furtherance of its purposes;\n(3) Discharging or making provision for discharging its liabilities; and\n(4) Distributing its remaining property to its beneficiaries or in furtherance of its purposes in accordance with the governing documents.\n(b) A foundation's dissolution does not:\n(1) Transfer title to the foundation's property;\n(2) Subject its directors to duties different from those prescribed in article 11;\n(3) Subject its protectors to duties different from those prescribed in article 13;\n(4) Change the provisions for appointment, resignation, or removal of the foundation officials;\n(5) Change the provisions for amending its governing documents;\n(6) Prevent commencement of a judicial proceeding by or against the foundation in the foundation's name;\n(7) Abate or suspend a judicial proceeding pending by or against the foundation on the dissolution's effective date; or\n(8) Terminate the authority of the foundation's registered agent.","path":["Title LVI: PROBATE COURTS AND DECEDENTS' ESTATES","Chapter Part A: Voluntary Dissolution"],"source_url":"https://gc.nh.gov/rsa/html/LVI/564-F/564-F-20-2005.htm","current_through":"2025 regular legislative session, or December 2025","vintage":"","retrieved_at":"2026-09-05T17:08:19Z","sha256":"2209b5dc3a1474140188509400968659fbeda1195a74890b19b3dce906f4943a","source_id":"us-nh","stale":false,"prev":"us-nh/rsa-564-f-20-2004","next":"us-nh/rsa-564-f-20-2006"},"notice":"GroundRules: Original legal text.
