{"data":{"id":"us-nh/rsa-564-f-20-2009","jurisdiction":"us-nh","citation":"RSA 564-F:20-2009","heading":"Administrative Dissolution.","body":"(a) The secretary of state may administratively dissolve a foundation if:\n(1) For 2 consecutive years, the foundation does not pay the annual fee or any penalty imposed by this chapter or other law within 60 days after the fee or penalty is due;\n(2) For 2 consecutive years, the foundation does not file its annual report with the secretary of state within 60 days after the annual report is due;\n(3) For a period of 60 days or more, the foundation does not have a registered agent or a registered office;\n(4) The foundation fails to file with the secretary of state:\n(A) A notice of a change of its registered agent within 60 days after the change;\n(B) A notice of a change of its registered office within 60 days after the change;\n(C) A notice of its registered agent's resignation within 60 days after the resignation; or\n(D) A notice of the discontinuance of its registered office within 60 days after the discontinuance; or\n(5) The period of foundation's duration stated in its certificate of formation expires.\n(b) The secretary of state may dissolve a foundation under subsection (a) by sending the following documents to the foundation at the foundation's registered office:\n(1) A notice of administrative dissolution; and\n(2) An application for reinstatement.\n(c) The notice of administrative dissolution shall set forth:\n(1) The grounds for dissolution; and\n(2) The effective date of dissolution.","path":["Title LVI: PROBATE COURTS AND DECEDENTS' ESTATES","Chapter Part B: Administrative Dissolution"],"source_url":"https://gc.nh.gov/rsa/html/LVI/564-F/564-F-20-2009.htm","current_through":"2025 regular legislative session, or December 2025","vintage":"","retrieved_at":"2026-09-05T17:08:19Z","sha256":"3098a744fd548325d7bafb907dd5aaaa87443250201613a8dc5e283d8af5e9f7","source_id":"us-nh","stale":false,"prev":"us-nh/rsa-564-f-20-2008","next":"us-nh/rsa-564-f-20-2010"},"notice":"GroundRules: Original legal text.
