Stat. § 12A:1-301","heading":"Territorial applicability; parties' power to choose applicable law.","body":"Territorial Applicability; Parties' Power to Choose Applicable Law.\na.\tExcept as otherwise provided in this section, when a transaction bears a reasonable relation to this State and also to another state or nation the parties may  agree that the law either of this State or of that other state or nation shall govern their rights and duties.\nb.\tIn the absence of an agreement effective under subsection a. of this section, and except as provided in subsection c. of this section, the Uniform Commercial Code applies to transactions bearing an appropriate relation to this State.\nc.\tIf one of the following provisions of the Uniform Commercial Code specifies the applicable law, that provision governs and a contrary agreement is effective only to the extent permitted by the law so specified:\n(1)\tsection 12A:2-402;\n(2)\tsections 12A:2A-105 and 12A:2A-106;\n(3)\tsection 12A:4-102;\n(4)\tsection 12A:4A-507;\n(5)\tsection 12A:5-116;\n(6)\tsection 12A:8-110;\n(7)\tsections 12A:9-301 through 12A:9-307.\nL.2013, c.65, s.1.","path":["TITLE 12A COMMERCIAL TRANSACTIONS"],"source_url":"https://pub.njleg.state.nj.us/statutes/STATUTES-TEXT.zip","current_through":"P.L.2025, c.405, and J.R.22","vintage":"","retrieved_at":"2026-08-27T17:54:13Z","sha256":"e316f9fbb8874fe25f957789c8618bf279a21bda401e0e23bb527282dc54b25b","source_id":"us-nj","stale":true,"prev":"us-nj/n.j.-stat.-12a-1-206","next":"us-nj/n.j.-stat.-12a-1-302"},"notice":"GroundRules: Original legal text.
