Stat. § 42:2C-25","heading":"Certificate of standing.","body":"25.\tCertificate of Standing.\na.\tThe filing office, upon request and payment of the requisite fee, shall furnish to any person a certificate of standing for a limited liability company if the records filed in the filing office show that the company has been formed under section 18 of this act.  A certificate of standing shall state:\n(1)\tthe company's name;\n(2)\tthat the company was duly formed under the laws of this State and the date of formation;\n(3)\twhether all fees and penalties due under this act or other law to the filing office have been paid;\n(4)\twhether the company's most recent annual report required by section 26 of this act has been filed in the filing office;\n(5)\twhether the filing office has administratively revoked the company; and\n(6)\twhether the filing office has filed a certificate of dissolution.\nb.\tThe filing office, upon request and payment of the requisite fee, shall furnish to any person a certificate of standing for a foreign limited liability company if the records filed in the office of the filing office show that the filing office has filed a certificate of authority, has not revoked the certificate of authority, and has not filed a notice of cancellation.  A certificate of standing shall state:\n(1)\tthe company's name and any alternate name adopted under subsection a. of section 61 of this act for use in this State;\n(2)\tthat the company is authorized to transact business in this State;\n(3)\twhether all fees and penalties due to the filing office under this act or other law have been paid;\n(4)\twhether the company's most recent annual report required by section 26 of this act has been filed in the filing office;\n(5)\tthat the filing office has not revoked the company's certificate of authority and has not filed a certificate of cancellation; and\n(6)\tother facts of record in the office of the filing office which are specified by the person requesting the certificate.\nc.\tSubject to any qualification stated in the certificate, a certificate of standing issued by the filing office is conclusive evidence that the limited liability company is in existence or the foreign limited liability company is authorized to transact business in this State.\nL.2012, c.50, s.25.","path":["TITLE 42 PARTNERSHIPS AND PARTNERSHIP ASSOCIATIONS"],"source_url":"https://pub.njleg.state.nj.us/statutes/STATUTES-TEXT.zip","current_through":"P.L.2025, c.405, and J.R.22","vintage":"","retrieved_at":"2026-08-27T17:54:13Z","sha256":"9fa17f432ff1cc4c9e9fcf389eaaaa14a4c02481c4c64a3934e5d514af06263f","source_id":"us-nj","stale":true,"prev":"us-nj/n.j.-stat.-42-2c-24","next":"us-nj/n.j.-stat.-42-2c-26"},"notice":"GroundRules: Original legal text.
