Stat. § 42:2C-3","heading":"Knowledge; notice.","body":"3.\tKnowledge; Notice.\na.\tA person knows a fact when the person:\n(1)\thas actual knowledge of it; or\n(2)\tis deemed to know it under paragraph (1) of subsection d. of this section or law other than this act.\nb.\tA person has notice of a fact when the person:\n(1)\thas reason to know the fact from all of the facts known to the person at the time in question; or\n(2)\tis deemed to have notice of the fact under paragraph (2) of subsection d. of this section.\nc.\tA person notifies another of a fact by taking steps reasonably required to inform the other person in ordinary course, whether or not the other person knows the fact.\nd.\tA person that is not a member is deemed:\n(1)\tto know of a limitation on authority to transfer real property as provided in subsection g. of section 28 of this act; and\n(2)\tto have notice of a limited liability company's:\n(a)\tdissolution, 90 days after a certificate of dissolution, pursuant to subparagraph (a) of paragraph (2) of subsection b. of section 49 of this act becomes effective;\n(b)\ttermination, 90 days after a statement of termination, pursuant to subparagraph (f) of paragraph (2) of subsection b. of section 49 of this act becomes effective; and\n(c)\tmerger, conversion, or domestication, 90 days after articles of merger, conversion, or domestication under Article 10 (sections 73 through 87 of this act) become effective.\nL.2012, c.50, s.3.","path":["TITLE 42 PARTNERSHIPS AND PARTNERSHIP ASSOCIATIONS"],"source_url":"https://pub.njleg.state.nj.us/statutes/STATUTES-TEXT.zip","current_through":"P.L.2025, c.405, and J.R.22","vintage":"","retrieved_at":"2026-08-27T17:54:13Z","sha256":"58f36fa7f4edc97087c95f7aedfe885c91023eae3c6e3aa60533b04e8729ff05","source_id":"us-nj","stale":true,"prev":"us-nj/n.j.-stat.-42-2c-2","next":"us-nj/n.j.-stat.-42-2c-4"},"notice":"GroundRules: Original legal text.
