Stat. § 42:2C-52","heading":"Claims against member or transferee barred unless filed within five years after limited liability company dissolved.","body":"52.\tClaims Against Member or Transferee Barred Unless Filed Within Five Years After Limited Liability Company Dissolved.\na.\tA claimant, and all those claiming through or under the claimant, shall be forever barred from suing a member or transferee on any claim, or otherwise realizing upon or enforcing any claim against a member or transferee, unless an action is commenced against the member or transferee, pursuant to paragraph (2) of subsection d. of section 51 of this act, or otherwise, within five years after the limited liability company was dissolved.\nb.\tThis section shall not:\n(1)\tapply to claims against members or transferees which are in litigation on the effective date of this section;\n(2)\toperate to extend any otherwise applicable statute of limitations; or\n(3)\taffect any rights of creditors under the \"Uniform Voidable Transactions Act,\" R.S.25:2-20 et seq.\nL.2012, c.50, s.52; amended 2021, c.92, s.21.","path":["TITLE 42 PARTNERSHIPS AND PARTNERSHIP ASSOCIATIONS"],"source_url":"https://pub.njleg.state.nj.us/statutes/STATUTES-TEXT.zip","current_through":"P.L.2025, c.405, and J.R.22","vintage":"","retrieved_at":"2026-08-27T17:54:13Z","sha256":"85a3521f2fc3690c4ca908a87edb8bc7fd13c9745f8cf8a75012a9bca1ec6f87","source_id":"us-nj","stale":true,"prev":"us-nj/n.j.-stat.-42-2c-51","next":"us-nj/n.j.-stat.-42-2c-53"},"notice":"GroundRules: Original legal text.
