Stat. § 42:2C-59","heading":"Activities not constituting transacting business.","body":"59.\tActivities Not Constituting Transacting Business.\na.\tActivities of a foreign limited liability company which do not constitute transacting business in this State within the meaning of this section include:\n(1)\tmaintaining, defending, or settling an action or proceeding;\n(2)\tcarrying on any activity concerning its internal affairs, including holding meetings of its members or managers;\n(3)\tmaintaining accounts in financial institutions;\n(4)\tmaintaining offices or agencies for the transfer, exchange, and registration of the company's own securities or maintaining trustees or depositories with respect to those securities;\n(5)\tselling through independent contractors;\n(6)\tsoliciting or obtaining orders, whether by mail or electronic means or through employees or agents or otherwise, if the orders require acceptance outside this State before they become contracts;\n(7)\tcreating or acquiring indebtedness, mortgages, or security interests in real or personal property;\n(8)\tsecuring or collecting debts or enforcing mortgages or other security interests in property securing the debts and holding, protecting, or maintaining property so acquired;\n(9)\tconducting an isolated transaction that is completed within 30 days and is not in the course of similar transactions; and\n(10)  transacting business in interstate commerce.\nb.\tFor purposes of this section, the ownership in this State of income-producing real property or tangible personal property, other than property excluded under subsection a. of this section, constitutes transacting business in this State.\nc.\tThis section does not apply in determining the contacts or activities that may subject a foreign limited liability company to service of process, taxation, or regulation under law of this State other than this act.\nL.2012, c.50, s.59.","path":["TITLE 42 PARTNERSHIPS AND PARTNERSHIP ASSOCIATIONS"],"source_url":"https://pub.njleg.state.nj.us/statutes/STATUTES-TEXT.zip","current_through":"P.L.2025, c.405, and J.R.22","vintage":"","retrieved_at":"2026-08-27T17:54:13Z","sha256":"4266f27aad68d8cd10d7ccec41f368529296dcb2d903241f10c28dc022fe7df4","source_id":"us-nj","stale":true,"prev":"us-nj/n.j.-stat.-42-2c-58","next":"us-nj/n.j.-stat.-42-2c-60"},"notice":"GroundRules: Original legal text.
