Stat. § 42:2C-74","heading":"Merger.","body":"74.\tMerger.\na.\tA limited liability company may merge with one or more other constituent organizations pursuant to this section, sections 75 through 77 of this act, and a plan of merger, if:\n(1)\tthe governing statute of each of the other organizations authorizes the merger;\n(2)\tthe merger is not prohibited by the law of a jurisdiction that enacted any of the governing statutes; and\n(3)\teach of the other organizations complies with its governing statute in effecting the merger.\nb.\tA plan of merger shall be in a record and shall include:\n(1)\tthe name and form of each constituent organization;\n(2)\tthe name and form of the surviving organization and, if the surviving organization is to be created by the merger, a statement to that effect;\n(3)\tthe terms and conditions of the merger, including the manner and basis for converting the interests in each constituent organization into any combination of money, interests in the surviving organization, and other consideration;\n(4)\tif the surviving organization is to be created by the merger, the surviving organization's organizational documents that are proposed to be in a record; and\n(5)\tif the surviving organization is not to be created by the merger, any amendments to be made by the merger to the surviving organization's organizational documents that are, or are proposed to be, in a record.\nL.2012, c.50, s.74.","path":["TITLE 42 PARTNERSHIPS AND PARTNERSHIP ASSOCIATIONS"],"source_url":"https://pub.njleg.state.nj.us/statutes/STATUTES-TEXT.zip","current_through":"P.L.2025, c.405, and J.R.22","vintage":"","retrieved_at":"2026-08-27T17:54:13Z","sha256":"0e529d04ab1edf08772927af02bf62f90f6d5acb790139586e3fdf400dee719b","source_id":"us-nj","stale":true,"prev":"us-nj/n.j.-stat.-42-2c-73","next":"us-nj/n.j.-stat.-42-2c-75"},"notice":"GroundRules: Original legal text.
