Stat. § 42:2C-78","heading":"Conversion.","body":"78.\tConversion.\na.\tAn organization, other than a limited liability company or a foreign limited liability company, may convert to a limited liability company, and a limited liability company may convert to an organization other than a foreign limited liability company pursuant to this section, sections 79 through 81 of this act, and a plan of conversion, if:\n(1)\tthe other organization's governing statute authorizes the conversion;\n(2)\tthe conversion is not prohibited by the law of the jurisdiction that enacted the other organization's governing statute; and\n(3)\tthe other organization complies with its governing statute in effecting the conversion.\nb.\tA plan of conversion shall be in a record and shall include:\n(1)\tthe name and form of the organization before conversion;\n(2)\tthe name and form of the organization after conversion;\n(3)\tthe terms and conditions of the conversion, including the manner and basis for converting interests in the converting organization into any combination of money, interests in the converted organization, and other consideration; and\n(4)\tthe organizational documents of the converted organization that are, or are proposed to be, in a record.\nL.2012, c.50, s.78.","path":["TITLE 42 PARTNERSHIPS AND PARTNERSHIP ASSOCIATIONS"],"source_url":"https://pub.njleg.state.nj.us/statutes/STATUTES-TEXT.zip","current_through":"P.L.2025, c.405, and J.R.22","vintage":"","retrieved_at":"2026-08-27T17:54:13Z","sha256":"39611b9d78d24cfd99a84f388afb197231070e3b6cd6f1e30535de87d32c44ab","source_id":"us-nj","stale":true,"prev":"us-nj/n.j.-stat.-42-2c-77","next":"us-nj/n.j.-stat.-42-2c-79"},"notice":"GroundRules: Original legal text.
