Stat. § 42:2C-82","heading":"Domestication.","body":"82.\tDomestication.\na.\tA foreign limited liability company may become a limited liability company pursuant to this section, sections 83 through 85 of this act, and a plan of domestication, if:\n(1)\tthe foreign limited liability company's governing statute authorizes the domestication;\n(2)\tthe domestication is not prohibited by the law of the jurisdiction that enacted the governing statute; and\n(3)\tthe foreign limited liability company complies with its governing statute in effecting the domestication.\nb.\tA limited liability company may become a foreign limited liability company pursuant to this section, sections 83 through 85 of this act, and a plan of domestication, if:\n(1)\tthe foreign governing statute authorizes the domestication;\n(2)\tthe domestication is not prohibited by the law of the jurisdiction that enacted the governing statute; and\n(3)\tthe limited liability company complies with the foreign governing statute in effecting the domestication.\nc.\tA plan of domestication shall be in a record and shall include:\n(1)\tthe name of the domesticating company before domestication and such other information as may be required by the filing office to correctly identify the company and the jurisdiction of its governing statute;\n(2)\tthe name of the domesticated company after domestication and the jurisdiction of its governing statute;\n(3)\tthe terms and conditions of the domestication, including the manner and basis for converting interests in the domesticating company into any combination of money, interests in the domesticated company, and other consideration; and\n(4)\tthe organizational documents of the domesticated company that are, or are proposed to be, in a record.\nL.2012, c.50, s.82.","path":["TITLE 42 PARTNERSHIPS AND PARTNERSHIP ASSOCIATIONS"],"source_url":"https://pub.njleg.state.nj.us/statutes/STATUTES-TEXT.zip","current_through":"P.L.2025, c.405, and J.R.22","vintage":"","retrieved_at":"2026-08-27T17:54:13Z","sha256":"b617adf294d74f7f103d3d60a2d258d4e8607230f03157de6a5afe7688050f50","source_id":"us-nj","stale":true,"prev":"us-nj/n.j.-stat.-42-2c-81","next":"us-nj/n.j.-stat.-42-2c-83"},"notice":"GroundRules: Original legal text.
