{"data":{"id":"us-nm/53-8-37","jurisdiction":"us-nm","citation":"53-8-37","heading":"Articles of amendment.","body":"The articles of amendment shall be executed by the corporation by two authorized officers of the corporation and shall set forth:\nA. the name of the corporation and, if different, include any name under which it proposes to transact business in New Mexico;\nB. the amendment so adopted;\nC. if there are members entitled to vote thereon:\n(1) a statement setting forth the date of the meeting of members at which the amendment was adopted, that a quorum was present at the meeting and that the amendment received at least two-thirds of the votes that members present at the meeting or represented by proxy were entitled to cast; or\n(2) a statement that the amendment was adopted by a consent in writing signed by all members entitled to vote with respect thereto; and\nD. if there are no members, or no members entitled to vote thereon, a statement of such fact, the date of the meeting of the board of directors at which the amendment was adopted and a statement of the fact that the amendment received the vote of a majority of the directors in office.","path":["Chapter 53 - Corporations","ARTICLE 8 Nonprofit Corporations"],"source_url":"https://nmonesource.com/nmos/nmsa-unanno/en/item/18556/index.do","current_through":"2025-06-20","vintage":"","retrieved_at":"2026-09-03T15:02:20Z","sha256":"b840cc0ead6e9bd9bea98533d008b529d903e856a1cecef13009c250baf00e6a","source_id":"us-nm","stale":false,"prev":"us-nm/53-8-36","next":"us-nm/53-8-38"},"notice":"GroundRules: Original legal text.
