Code § 1308.08","heading":"Issuer - UCC 8-201.","body":"(A) With respect to obligations on or defenses to a security, \"issuer\" includes a person who:\n(1) Places or authorizes the placing of its name on a security certificate, otherwise than as authenticating trustee, registrar, transfer agent, or the like, to evidence a share, participation, or other interest in its property or in an enterprise, or to evidence its duty to perform an obligation represented by the certificate;\n(2) Creates shares, participations, or other interests in its property or in an enterprise, or undertakes obligations, that are uncertificated securities;\n(3) Directly or indirectly creates fractional interests in its rights or property, if the fractional interests are represented by security certificates; or\n(4) Becomes responsible for, or in place of, any other person described as an issuer in this section.\n(B) With respect to obligations on or defenses to a security, a guarantor is an issuer to the extent of its guaranty, whether or not its obligation is noted on a security certificate.\n(C) With respect to registration of transfer, \"issuer\" means a person on whose behalf transfer books are maintained.","path":["Title 13 Commercial Transactions","Chapter 1308 Investment Securities"],"source_url":"https://codes.ohio.gov/ohio-revised-code/section-1308.08","current_through":"1998-01-01 (House Bill 170 - 122nd General Assembly)","vintage":"","retrieved_at":"2026-09-14T19:24:29Z","sha256":"8313fdd1ff019fabdd7ec94e1ad4f19c25fd43d459fe12f9acd25e9a78522fd9","source_id":"us-oh","stale":false,"prev":"us-oh/ohio-rev.-code-1308.07","next":"us-oh/ohio-rev.-code-1308.09"},"notice":"GroundRules: Original legal text.
