Code § 1308.15","heading":"Effect of signature of authenticating trustee, registrar, or transfer agent - UCC 8-208.","body":"(A) A person signing a security certificate as authenticating trustee, registrar, transfer agent, or the like, warrants to a purchaser for value of the certificated security, if the purchaser is without notice of the particular defect, that:\n(1) The certificate is genuine;\n(2) The person's own participation in the issue of the security is within the person's capacity and within the scope of the authority received by the person from the issuer; and\n(3) The person has reasonable grounds to believe the certificated security is in the form and within the amount the issuer is authorized to issue.\n(B) Unless otherwise agreed, a person signing under division (A) of this section does not assume responsibility for the validity of the security in other respects.","path":["Title 13 Commercial Transactions","Chapter 1308 Investment Securities"],"source_url":"https://codes.ohio.gov/ohio-revised-code/section-1308.15","current_through":"1998-01-01 (House Bill 170 - 122nd General Assembly)","vintage":"","retrieved_at":"2026-09-14T19:24:29Z","sha256":"05278841bf0c7d785f947b27454f6a664d9a969e446811704e2a5192b6bdd21a","source_id":"us-oh","stale":false,"prev":"us-oh/ohio-rev.-code-1308.14","next":"us-oh/ohio-rev.-code-1308.16"},"notice":"GroundRules: Original legal text.
