Code § 1706.472","heading":"Winding up of limited liability company activities.","body":"(A) Subject to division (C)(5) of section 1706.471 of the Revised Code, after dissolution, the remaining members, if any, and if none, a person appointed by all holders of the membership interest last assigned by the last person to have been a member, may wind up the limited liability company's activities.\n(B) The appropriate tribunal may order supervision of the winding up of a dissolved limited liability company, including the appointment of a person to wind up the limited liability company's activities as follows:\n(1) On application of a member, if the applicant establishes good cause;\n(2) On application of an assignee, if both of the following apply:\n(a) The limited liability company does not have any members;\n(b) Within a reasonable time following the dissolution, a person has not been appointed pursuant to division (A) of this section.\n(3) In connection with a proceeding under division (E) of section 1706.47 of the Revised Code.","path":["Title 17 Corporations-Partnerships","Chapter 1706 Ohio Revised Limited Liability Company Act"],"source_url":"https://codes.ohio.gov/ohio-revised-code/section-1706.472","current_through":"2021-04-12 (Senate Bill 276 - 133rd General Assembly)","vintage":"","retrieved_at":"2026-09-14T19:24:29Z","sha256":"252f755903df20b86b2016bbbb2e0b70505167d5f51bfde0c73fcc53c80ddcdb","source_id":"us-oh","stale":false,"prev":"us-oh/ohio-rev.-code-1706.471","next":"us-oh/ohio-rev.-code-1706.473"},"notice":"GroundRules: Original legal text.
