Code § 1706.611","heading":"Member standing for derivative action.","body":"(A) A member may commence or maintain a derivative action in the right of the limited liability company only if the member meets both of the following conditions:\n(1) The member fairly and adequately represents the interests of the limited liability company in enforcing the right of the limited liability company.\n(2) The member either:\n(a) Was a member of the limited liability company at the time of the act or omission of which the member complains;\n(b) Acquired a membership interest through assignment by operation of law from a person who was a member at the time of the act or omission of which the member complains.\n(B) A member associated with a series of a limited liability company may commence or maintain a derivative action in the right of the series only if the member meets both of the following conditions:\n(1) The member fairly and adequately represents the interests of the series in enforcing the right of the series.\n(2) The member either:\n(a) Was associated with the series at the time of the act or omission of which the member complains;\n(b) Acquired a membership interest through assignment by operation of law from a person who was a member associated with the series at the time of the act or omission of which the member complains.","path":["Title 17 Corporations-Partnerships","Chapter 1706 Ohio Revised Limited Liability Company Act"],"source_url":"https://codes.ohio.gov/ohio-revised-code/section-1706.611","current_through":"2021-04-12 (Senate Bill 276 - 133rd General Assembly)","vintage":"","retrieved_at":"2026-09-14T19:24:29Z","sha256":"46e8cd066b1997100ef0431034d4a232c6cb75a3d21c34f01478250b5f90760d","source_id":"us-oh","stale":false,"prev":"us-oh/ohio-rev.-code-1706.61","next":"us-oh/ohio-rev.-code-1706.612"},"notice":"GroundRules: Original legal text.
