Code § 1706.711","heading":"Merger approval, amendment, or abandonment.","body":"(A) To be effective, an agreement of merger shall be consented to by all the members of a constituent limited liability company.\n(B) After the agreement of merger is approved, and at any time before a certificate of merger is delivered to the secretary of state for filing under section 1706.712 of the Revised Code, a constituent limited liability company may amend the agreement or abandon the merger:\n(1) As provided in the agreement; or\n(2) Except as otherwise prohibited in the agreement, with the same consent as was required to approve the agreement.","path":["Title 17 Corporations-Partnerships","Chapter 1706 Ohio Revised Limited Liability Company Act"],"source_url":"https://codes.ohio.gov/ohio-revised-code/section-1706.711","current_through":"2021-04-12 (Senate Bill 276 - 133rd General Assembly)","vintage":"","retrieved_at":"2026-09-14T19:24:29Z","sha256":"6065135df472fcd93e2c8dedd7416115afc3286ee9c5866272475b34dcca1881","source_id":"us-oh","stale":false,"prev":"us-oh/ohio-rev.-code-1706.71","next":"us-oh/ohio-rev.-code-1706.712"},"notice":"GroundRules: Original legal text.
