Bylaws.\n\nThe Interstate Commission shall, by a majority of the members\n\npresent and voting, within twelve (12) months after the first\n\nInterstate Commission meeting, adopt bylaws to govern its conduct as\n\nmay be necessary or appropriate to carry out the purposes of the\n\ncompact, including, but not limited to:\n\na. establishing the fiscal year of the Interstate\n\nCommission,\n\nb. establishing an executive committee and such other\n\ncommittees as may be necessary,\n\nc. provide for the establishment of committees governing\n\nany general or specific delegation of any authority or\n\nfunction of the Interstate Commission,\n\nd. providing reasonable procedures for calling and\n\nconducting meetings of the Interstate Commission, and\n\nensuring reasonable notice of each such meeting,\n\ne. establishing the titles and responsibilities of the\n\nofficers of the Interstate Commission,\n\nf. providing a mechanism for concluding the operations of\n\nthe Interstate Commission and the return of any\n\nsurplus funds that may exist upon the termination of\n\nthe Compact after the payment and/or reserving of all\n\nof its debts and obligations,\n\ng. providing “start-up” rules for initial administration\n\nof the compact, and\n\nh. establishing standards and procedures for compliance\n\nand technical assistance in carrying out the compact.\n\nB. Officers and staff.\n\n1. The Interstate Commission shall, by a majority of the\n\nmembers, elect annually from among its members a chairperson and a\n\nvice-chairperson, each of whom shall have such authority and duties\n\nas may be specified in the bylaws. The chairperson or, in the\n\nchairperson’s absence or disability, the vice-chairperson shall\n\npreside at all meetings of the Interstate Commission. The officers\n\nso elected shall serve without compensation or remuneration from the\n\nInterstate Commission; provided that, subject to the availability of\n\nbudgeted funds, the officers shall be reimbursed for any ordinary\n\nand necessary costs and expenses incurred by them in the performance\n\nof their duties and responsibilities as officers of the Interstate\n\nCommission.\n\n2. The Interstate Commission shall, through its executive\n\ncommittee, appoint or retain an executive director for such period,\n\nupon such terms and conditions and for such compensation as the\n\nInterstate Commission may deem appropriate. The executive director\n\nshall serve as secretary to the Interstate Commission, but shall not\n\nbe a Member and shall hire and supervise such other staff as may be\n\nauthorized by the Interstate Commission.\n\nC. Qualified immunity, defense and indemnification.\n\n1. The Interstate Commission’s executive director and employees\n\nshall be immune from suit and liability, either personally or in\n\ntheir official capacity, for any claim for damage to or loss of\n\nproperty or personal injury or other civil liability caused or\n\narising out of or relating to any actual or alleged act, error, or\n\nomission that occurred, or that such person had a reasonable basis\n\nfor believing occurred within the scope of Interstate Commission\n\nemployment, duties, or responsibilities; provided, that any such\n\nperson shall not be protected from suit or liability for any damage,\n\nloss, injury, or liability caused by the intentional or willful and\n\nwanton misconduct of any such person.\n\n2. The liability of any commissioner, or the employee or agent\n\nof a commissioner, acting within the scope of such person’s\n\nemployment or duties for acts, errors, or omissions occurring within\n\nsuch person’s state may not exceed the limits of liability set forth\n\nunder the Constitution and laws of that state for state officials,\n\nemployees, and agents. Nothing in this subsection shall be\n\nconstrued to protect any such person from suit or liability for any\nnt\n\nof a commissioner, acting within the scope of such person’s\n\nemployment or duties for acts, errors, or omissions occurring within\n\nsuch person’s state may not exceed the limits of liability set forth\n\nunder the Constitution and laws of that state for state officials,\n\nemployees, and agents. Nothing in this subsection shall be\n\nconstrued to protect any such person from suit or liability for any\n\ndamage, loss, injury, or liability caused by the intentional or\n\nwillful and wanton misconduct of any such person.\n\n3. The Interstate Commission shall defend the executive\n\ndirector or the employees or representatives of the Interstate\n\nCommission and, subject to the approval of the Attorney General of\n\nthe state represented by any commissioner of a compacting state,\n\nshall defend such commissioner or the commissioner’s representatives\n\nor employees in any civil action seeking to impose liability arising\n\nout of any actual or alleged act, error or omission that occurred\n\nwithin the scope of Interstate Commission employment, duties or\n\nresponsibilities, or that the defendant had a reasonable basis for\n\nbelieving occurred within the scope of Interstate Commission\n\nemployment, duties, or responsibilities, provided that the actual or\n\nalleged act, error, or omission did not result from intentional or\n\nwillful and wanton misconduct on the part of such person.\n\n4. The Interstate Commission shall indemnify and hold the\n\ncommissioner of a compacting state, or the commissioner’s\n\nrepresentatives or employees, or the Interstate Commission’s\n\nrepresentatives or employees, harmless in the amount of any\n\nsettlement or judgment obtained against such persons arising out of\n\nany actual or alleged act, error, or omission that occurred within\n\nthe scope of Interstate Commission employment, duties, or\n\nresponsibilities, or that such persons had a reasonable basis for\n\nbelieving occurred within the scope of Interstate Commission\n\nemployment, duties, or responsibilities, provided that the actual or\n\nalleged act, error, or omission did not result from intentional or\n\nwillful and wanton misconduct on the part of such persons.","path":["OK Code","Title 10A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os10A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"1cce4a37098473cb3ce74245dc3292145c3d0337757a1df8446d297c831819be","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-10a-10a-2-9-105","next":"us-ok/okla.-stat.-tit.-10a-10a-2-9-107"},"notice":"GroundRules: Original legal text.
