Stat. tit. 12, § 12-1082","heading":"Dissolved partnerships","body":"(a) A partnership may sue and be sued in its firm name, and\n\nafter a partnership has been dissolved, actions may be brought by\n\nand against the partnership in its firm name to enforce obligations\n\nthat arose before the dissolution, the partnership being deemed to\n\ncontinue for the purpose of the suit. Where the dissolution is\n\ncaused by the death of a partner, an action to enforce an obligation\n\nthat arose before the dissolution may be brought by or against the\n\npartnership in its firm name, or by or against the surviving\n\npartners, or by or against the surviving partners and the estate of\n\nthe deceased partner, if an action is brought against the\n\npartnership in its firm name, the estate of the deceased partner may\n\nbe made a party to the action by being properly served with process.\n\n(b) When a partner dies after suit is brought by or against a\n\npartnership, the action will not abate, whether it is brought by or\n\nagainst the partnership in its firm name or in the names of the\n\npartners and it shall not be necessary to make the representative of\n\nthe deceased partner a party to the action although he may be\n\nsubstituted for the decedent if the decedent was named as a party\n\nplaintiff or was served with process, but judgment may not be\n\nenforced against the decedent's estate if the partner dies before\n\nthe verdict was rendered and the decedent's representative was not\n\nmade a party to the action.\n\n(c) When a partner dies after judgment has been rendered in\n\nfavor of or against the partnership of which the decedent was a\n\nmember, the judgment may be enforced in favor of or against the\n\npartnership and against the estate of the deceased partner although\n\nthe estate of the deceased partner is not made a party to the\n\njudgment.","path":["OK Code","Title 12"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"bd60f9d3b5ccbb1cc8388dfa16e9c10a00541ca9732babed2af202f58ea4e675","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12-12-1081","next":"us-ok/okla.-stat.-tit.-12-12-1083"},"notice":"GroundRules: Original legal text.
