A manufacturer shall indemnify and hold harmless a seller\n\nagainst loss arising out of a product liability action, except for\n\nany loss caused by the seller’s negligence, intentional misconduct,\n\nor other act or omission, such as negligently modifying or altering\n\nthe product, for which the seller is independently liable.\n\nB. For purposes of this section, “loss” includes court costs\n\nand other reasonable expenses, reasonable attorney fees, and any\n\nreasonable damages.\n\nC. Damages awarded by the trier of fact shall, on final\n\njudgment, be deemed reasonable for purposes of this section.\n\nD. For purposes of this section, a wholesale distributor or\n\nretail seller who completely or partially assembles a product in\n\naccordance with the manufacturer’s instructions shall be considered\n\na seller.\n\nE. The duty to indemnify under this section:\n\n1. Applies without regard to the manner in which the action is\n\nconcluded; and\n\n2. Is in addition to any duty to indemnify established by law,\n\ncontract, or otherwise.\n\nF. A seller eligible for indemnification under this section\n\nshall give reasonable notice to the manufacturer of a product\n\nclaimed in a petition or complaint to be defective, unless the\n\nmanufacturer has been served as a party or otherwise has actual\n\nnotice of the action.\n\nG. A seller is entitled to recover from the manufacturer court\n\ncosts and other reasonable expenses, reasonable attorney fees, and\n\nany reasonable damages incurred by the seller to enforce the\n\nseller’s right to indemnification under this section.\n\nH.
