Stat. tit. 12A, § 12A-1-301","heading":"Territorial applicability - Parties’ power to choose","body":"applicable law.\n\nTerritorial Applicability; Parties' Power to Choose Applicable\n\nLaw.\n\n(a) Except as provided hereafter in this section, when a\n\ntransaction bears a reasonable relation to this state and also to\n\nanother state or nation, the parties may agree that the law either\n\nof this state or of such other state or nation shall govern their\n\nrights and duties. Failing such agreement, this title applies to\n\ntransactions bearing an appropriate relation to this state.\n\n(b) To the extent that the Uniform Commercial Code governs a\n\ntransaction, if one of the following provisions of the Uniform\n\nCommercial Code specifies the applicable law, that provision governs\n\nand a contrary agreement is effective only to the extent permitted\n\nby the law so specified:\n\n(1) Section 2-402 of this title;\n\n(2) Sections 2A-105 and 2A-106 of this title;\n\n(3) Section 4-102 of this title;\n\n(4) Section 4A-507 of this title;\n\n(5) Section 5-116 of this title;\n\n(6) Section 8-110 of this title;\n\n(7) Sections 1-9-301 through 1-9-307 of this title; and\n\n(8) Section 12-107 of this title.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"3c321cf5ea2f1463347f791c9663fffa66e720b59cf4688daed81272e418a3f9","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-1-206","next":"us-ok/okla.-stat.-tit.-12a-12a-1-302"},"notice":"GroundRules: Original legal text.
