Stat. tit. 12A, § 12A-1-302","heading":"Variation by agreement","body":"Variation by Agreement.\n\n(a) Except as otherwise provided in subsection (b) of this\n\nsection or elsewhere in the Uniform Commercial Code, the effect of\n\nthe Uniform Commercial Code may be varied by agreement.\n\n(b) The obligations of good faith, diligence, reasonableness,\n\nand care prescribed by the Uniform Commercial Code may not be\n\ndisclaimed by agreement. The parties, by agreement, may determine\n\nthe standards by which the performance of those obligations is to be\n\nmeasured if those standards are not manifestly unreasonable.\n\nWhenever the Uniform Commercial Code requires an action to be taken\n\nwithin a reasonable time, a time that is not manifestly unreasonable\n\nmay be fixed by agreement.\n\n(c) The presence in certain provisions of the Uniform\n\nCommercial Code of the phrase “unless otherwise agreed” or words of\n\nsimilar import does not imply that the effect of other provisions\n\nmay not be varied by agreement under this section.","path":["OK Code","Title 12A"],"source_url":"https://www.oklegislature.gov/OK_Statutes/CompleteTitles/os12A.pdf","current_through":"2026-08-14","vintage":"open-us-law v2026.08, retrieved 2026-09-14","retrieved_at":"2026-09-14T18:32:36Z","sha256":"2827324195663295599b42a44a2a3b25958b79cde090256678132e15df483fe1","source_id":"us-ok","stale":false,"prev":"us-ok/okla.-stat.-tit.-12a-12a-1-301","next":"us-ok/okla.-stat.-tit.-12a-12a-1-303"},"notice":"GroundRules: Original legal text.
